kdx maintains this site in the state of Pennsylvania of the United States of America and you agree that these terms of use and any legal action or proceeding relating to this site shall be governed by the laws of the State of Pennsylvania without reference to its choice of law rules. If you attempt to bring any legal proceedings against kdx, you specifically acknowledge that kdx is free to choose the jurisdiction of our preference as to where such action against us may be held. As you have agreed by using this site to choose the laws of the State of Pennsylvania to govern any such proceedings, kdx reserves the right to bring or defend any such action in the courts of the State of Pennsylvania, regardless of where you are located or from where you accessed this site.

6. User Conduct and Submissions

kdx does not accept unauthorized idea submissions outside of established business relationships. To protect the interests of our current clients and ourselves, we must treat the issue of such submissions with great care. Importantly, without a clear business relationship, kdx cannot and does not treat any such submissions in confidence. Accordingly, please do not communicate unauthorized idea submissions to kdx through this site. Any ideas disclosed to kdx outside a pre-existing and documented confidential business relationship are not confidential and kdx may therefore develop, use and freely disclose or publish similar ideas without compensating you or accounting to you. kdx will make every reasonable effort to return or destroy any unauthorized idea submissions without detailed review of them. 7. Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to your use of this site or these terms of use, the parties agree to first attempt to resolve the matter through good-faith negotiation. Either party may initiate this process by providing written notice to the other describing the dispute in reasonable detail. If the parties are unable to resolve the dispute through negotiation within thirty (30) days of such notice, the following shall apply.

Any unresolved dispute shall be finally resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration shall be conducted in Pennsylvania. Each party shall bear its own costs. Nothing in this section shall prevent either party from seeking relief in a small claims court for disputes within that court’s jurisdiction. YOU UNDERSTAND AND AGREE THAT BY ACCEPTING THESE TERMS, YOU AND KDX ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION.
